03Corporate Structuring & Joint Ventures

Quick answer

Establish who owns, funds and controls the project — and what happens if the business plan, capital requirements or investor relationship changes.

In this workstream

01Who this may suit

  • two or more investors developing a project together
  • a landowner and developer combining land and expertise
  • a sponsor raising capital from private, family-office or institutional investors
  • an international group establishing a Portuguese project vehicle
  • a platform using separate SPVs for different projects
  • or a project requiring an owner, operator and management structure.

03Potential scope of support

Depending on the agreed engagement, support may include:

Structure selection and implementation

  • direct ownership or Portuguese project company
  • Lda. or S.A.
  • single-project or holding structure
  • owner and operator separation
  • joint-venture company
  • acquisition vehicle and bid structure
  • corporate purpose, capital and governance
  • incorporation, registrations and bank onboarding coordination
  • and alignment with tax, finance and exit advice.

No entity type is universally correct. The structure depends on the investors, project, governance, funding, risk, holding period and exit.

Investor and joint-venture terms

  • ownership and economic participation
  • share or quota rights
  • investor representations and conditions
  • capital commitments and capital calls
  • funding milestones and permitted uses
  • shareholder loans and other contributions
  • business-plan and budget approval
  • management composition and delegated authority
  • reserved matters and voting thresholds
  • information, accounts and reporting
  • conflicts of interest and related-party transactions
  • cost-overrun and emergency funding
  • distributions and cash waterfall
  • and investor return mechanics.

Default and protection mechanisms

  • failure to fund
  • dilution or alternative funding
  • default interest or loss of priority return
  • voting restrictions
  • cure periods
  • forced transfer or buyout mechanisms
  • damages and indemnities
  • key-person or sponsor events
  • and coordination with lender defaults and remedies.

Default remedies should be legally reviewed for proportionality, enforceability and consistency with the company’s constitutional documents.

Transfers, deadlock and exit

  • lock-up and permitted transfers
  • pre-emption, first-offer or first-refusal rights
  • tag-along and drag-along rights
  • change-of-control restrictions
  • lender consent
  • deadlock escalation
  • mediation, expert determination or buy-sell mechanisms
  • property, asset or share sale
  • refinancing or investor buyout
  • and dissolution as a final remedy.

A 50/50 joint venture should not be created without a workable approach to deadlock.

Corporate and project documentation

  • articles of association
  • shareholders’ or joint-venture agreement
  • investment and subscription agreement
  • shareholder-loan and contribution documents
  • development-management agreement
  • asset-management or service agreements
  • operator arrangements
  • intellectual-property and brand arrangements
  • corporate approvals and powers
  • beneficial-ownership reporting
  • and maintenance of the corporate decision record.

The shareholders’ agreement, articles, finance documents and project contracts should operate consistently. A private agreement does not automatically replace mandatory corporate acts or formalities.

Cross-border and compliance coordination

  • Portuguese tax and corporate identification
  • foreign corporate documents and representation powers
  • certification, legalisation and translation requirements
  • beneficial owners
  • source of funds and source of wealth
  • sanctions and politically exposed person screening
  • tax residence and substance
  • and foreign-investment screening where strategic assets or protected sectors are involved.

Ordinary real estate development is not automatically subject to the Portuguese strategic-asset screening regime. Projects involving relevant energy, transport, communications, defence or security assets require specific assessment.

04Potential deliverables

  • structure and responsibility diagram
  • corporate implementation checklist
  • incorporated and registered project company
  • articles of association adapted to the transaction
  • shareholders’, joint-venture or investment agreement
  • capital-call and investor-default schedule
  • shareholder-loan and contribution documents
  • corporate approvals and signing-authority matrix
  • beneficial-ownership and compliance checklist
  • and exit-mechanics summary.

05What depends on the project

  • investor type, residence and regulatory status
  • land, capital, services or guarantees contributed by each party
  • whether investors participate at project or holding-company level
  • lender requirements
  • project management and operator roles
  • tax treatment of funding and distributions
  • intended holding period
  • and the proposed asset, unit, portfolio or share exit.

06What corporate structuring does not do

  • It does not eliminate project or personal liability in every circumstance.
  • It does not make shareholder debt equivalent to lender-accepted equity.
  • It does not ensure that future capital will be available.
  • It does not replace tax, accounting, regulatory or investment advice.
  • It does not resolve a deadlock unless the documents create a workable mechanism and the parties follow it.

An SPV remains effective only if it is properly incorporated, funded, governed, documented and operated.

07Frequently asked questions

Common questions developers ask at this stage.

Is a Portuguese SPV required?

Not in every transaction. A Portuguese project company is commonly used for governance, accounting, financing and risk separation, but the appropriate ownership route depends on the investors, project, tax position, finance and exit.

Is an Lda. always the best project company?

No. An Lda. is frequently used for privately held projects. An S.A. or another structure may be more suitable where ownership, governance, institutional investment, regulation or transfer mechanics require it.

Can the landowner contribute the land instead of cash?

Potentially. A contribution in kind requires corporate, valuation, property, registration, tax and finance analysis. The transfer should not be treated as an informal substitute for a documented investment.

Should funding be equity or shareholder debt?

Often a documented combination is used. The balance depends on corporate rules, investor economics, tax, lender treatment, repayment restrictions and insolvency risk. A label alone does not determine the legal or accounting substance.

What happens if an investor does not fund a capital call?

The agreed documents may provide cure periods, alternative funding, default interest, dilution, loss of distribution priority, voting consequences, forced transfer or other remedies. The remedy must be coordinated with corporate law, the articles and finance documents.

Can the project company pay investors whenever it has cash?

Not automatically. Distributions may be restricted by company law, approved accounts, lender covenants, reserves, cost-to-complete requirements, tax and existing liabilities.

Legal support through VVA

Once a site or project is identified, the focus shifts from general guidance to that specific transaction: title, planning position, licensing, charges, contracts and the holding structure.
