Assess the tax consequences of acquiring, funding, developing, operating and exiting the project before the structure and documents make those consequences difficult to change.
In this workstream
01Who this may suit
- an investor comparing asset and share acquisitions
- a developer testing IMT, Stamp Duty or VAT assumptions
- a project using equity, shareholder loans and lender finance
- non-resident investors receiving interest, repayment or distributions
- an operating asset with leases, tourism or management income
- or a sponsor comparing unit sales, asset sale, refinancing and share exit.
02When tax input usually matters most
Tax should be reviewed before:
- the acquisition structure becomes binding
- a project company is incorporated in the wrong ownership chain
- land is contributed to an SPV or joint venture
- financing and guarantees are signed
- VAT is treated as recoverable in the financial model
- related-party fees or interest accrue
- sale or operating contracts are standardised
- or the exit route is fixed.
Tax consequences should be included in the same sources-and-uses and cash-flow model used by investors and lenders.
03Potential scope of support
Depending on the agreed engagement and coordination with tax and accounting professionals, support may include:
Acquisition
- asset or share acquisition comparison
- IMT and Stamp Duty
- taxable value and transaction consideration
- potential exemptions and their conditions
- acquisition for resale assumptions
- land or property contributions
- VAT position of the transaction
- due diligence on historic tax liabilities
- and allocation of tax risk in the acquisition documents.
No exemption should be treated as available cash unless eligibility, procedural conditions and loss-of-relief consequences have been confirmed.
Ownership and holding
- corporate income tax
- municipal surcharges
- IMI and AIMI
- depreciation and capitalisation
- project and operating expenses
- tax losses
- group or consolidation considerations
- and tax compliance and reporting.
Development and VAT
- VAT on construction and professional services
- right to deduct and allocation methods
- exempt and taxable outputs
- residential, commercial, tourism and mixed-use consequences
- reverse-charge or invoicing treatment where applicable
- timing of recovery and cash-flow impact
- adjustments and changes of use
- and documentary support.
The model should not assume that all input VAT is recoverable. The result depends on the activity, outputs, use and transaction structure.
Financing
- Stamp Duty on credit, interest, guarantees and financial arrangements
- interest deductibility
- shareholder-loan treatment
- transfer pricing
- withholding tax
- treaty or EU-law analysis where applicable
- guarantee and arrangement fees
- hedging
- and refinancing.
Portuguese law limits the deductibility of net finance expenses under statutory rules and conditions. Related-party finance should be commercially supportable and documented.
Investors and distributions
- equity and shareholder-debt returns
- dividends, interest and capital repayments
- withholding and relief procedures
- investor residence and classification
- permanent-establishment and substance issues
- beneficial ownership
- and repatriation of proceeds.
Operation
- rental, service, tourism or operator income
- VAT and invoicing
- payroll and employment-related coordination
- property and municipal taxes
- withholding obligations
- and owner, operator and manager arrangements.
Sales and exit
- unit-by-unit sale taxation
- asset or portfolio sale
- share or quota sale
- capital gains and taxable profit
- VAT and Stamp Duty consequences
- warranties and tax indemnities
- pre-sale and staged-payment treatment
- profit repatriation
- and post-closing filings.
04Potential deliverables
- project-tax assumptions note
- acquisition and exit comparison
- tax due-diligence report
- tax-sensitive transaction drafting
- VAT position and evidence requirements
- financing-tax schedule
- transfer-pricing and related-party document plan
- investor payment and withholding matrix
- filing and payment calendar
- and tax inputs for the project cash-flow model.
05What depends on the project
- asset and activity
- property use
- investor identity and residence
- direct, SPV or fund ownership
- asset or share acquisition
- construction and operating outputs
- mixed taxable and exempt activities
- financing sources
- related-party arrangements
- and the timing and form of exit.
06What this page and the website calculators do not do
- They do not calculate the final tax payable for a specific project.
- They do not confirm an exemption or right to deduct VAT.
- They do not determine transfer-pricing compliance.
- They do not replace accounting records or filings.
- They do not guarantee a tax authority’s acceptance of a position.
Any calculator must state its assumptions, excluded items, date and limitations. It should not use a single universal VAT or IMT treatment for all development types.
07Frequently asked questions
Common questions developers ask at this stage.
Is IMT always payable on acquiring development property?
IMT treatment depends on the transaction, property, taxable value, use, buyer and any exemption whose conditions are satisfied. It should be confirmed before the acquisition budget is finalised.
Is all construction VAT recoverable?
No. Recovery depends on the taxable person, activity, intended and actual outputs, documentation and applicable VAT rules. Mixed-use and exempt activities may require additional analysis.
Are shareholder-loan interest costs always deductible?
No. Interest deductibility may be affected by limitations on net finance expenses, transfer pricing, the commercial terms, use of funds and other tax rules.
Does buying the project company avoid property-transfer tax?
Not automatically. The tax treatment depends on the facts and law applicable to the interest acquired and the underlying assets. A share acquisition also carries historic company liabilities requiring due diligence.
Is a share sale always more tax efficient than an asset sale?
No. The result depends on the seller, buyer, company, asset history, financing, tax losses, warranties and transaction terms. Both parties may value the same structure differently.
Can the financial model use an expected grant or tax benefit as committed funding?
Not unless the entitlement, amount, timing and conditions are sufficiently confirmed. An application or possible benefit is not equivalent to cash available for completion.
Legal support through VVA
Before you commit to a site or project
Once a site or project is identified, the focus shifts from general guidance to that specific transaction: title, planning position, licensing, charges, contracts and the holding structure.
