Immobilienentwicklung in Portugal: häufig gestellte Fragen
87 Fragen
Ich weiß nicht, wo ich anfangen soll. Was sollte ich zuerst prüfen?

Can a foreign company or individual develop property in Portugal?
Yes. There is no general restriction on foreign ownership or development of Portuguese real estate. Non-resident buyers need a Portuguese tax number (NIF), and companies need to be registered and to report beneficial ownership. Restrictions that do apply are project-specific rather than nationality-specific: protected land classifications, coastal and forestry rules, heritage areas and sector licensing.
What is the realistic timeline from buying land to selling finished units?
For a straightforward urban infill project with a clear planning basis, three to five years is a common range: six to twelve months for acquisition and design, twelve to twenty-four months for licensing, eighteen to thirty months for construction, plus completion, utilisation licence and sales. Projects needing a plan change, environmental assessment or external authority consents run considerably longer.
How much equity do developers usually need?
Development lenders in Portugal typically fund a share of total project cost, with the sponsor covering the land and early soft costs. Assume the equity requirement is concentrated at the front end — land, taxes, design, studies and licensing fees are all paid before any facility is drawn.
Do I need a Portuguese company to develop?
Not legally, but a Portuguese special-purpose vehicle is the usual structure for a development because it isolates project liabilities, simplifies lender security, makes VAT recovery and construction contracting cleaner, and gives investors a defined shareholding to exit. The right answer depends on the sponsor's tax residence and exit plan.
Where should I start on this site?
Start with the Development Process for the eight-phase sequence, then Project Types for the asset-specific requirements and Locations for the regional planning and market context. Planning & Licensing covers the consent route in detail, and Costs & Taxes sets out the financial picture.
Do I need to live in Portugal or have a local partner?
No. Residence is not a condition for owning land or developing, and there is no requirement for a Portuguese partner. What is required in practice is local execution capacity: a lawyer, an architect registered to submit to the municipality, an accountant, and a contractor. Remote sponsors who skip that layer usually lose time at licensing rather than at acquisition.
Land, Titel und Due Diligence
Prüfen, was man tatsächlich kauft, bevor man sich festlegt.
What documents should I review before signing anything?
At minimum: the permanent land registry certificate (certidão permanente), the tax record (caderneta predial), the planning information from the municipality, the utilisation licence or construction licence for existing buildings, any planning history and previous applications, and proof of access. Registry, tax and survey descriptions should be reconciled — mismatches are common and slow completion.
What is a CPCV and how binding is it?
The contrato-promessa de compra e venda is the promissory purchase contract. It is binding and normally carries a deposit with a penalty regime, so conditions precedent — planning outcome, finance, title rectification, corporate approvals — must be written in before signature, not negotiated later.
How do I know what can be built on a plot?
The municipal master plan (PDM) sets the land classification, permitted uses and building parameters, sometimes refined by detail plans or urbanisation plans. A written planning information request or a PIP (pedido de informação prévia) turns that reading into a position you can rely on before acquisition.
What are RAN and REN and why do they matter?
RAN is the national agricultural reserve and REN the national ecological reserve. Land inside these regimes is heavily restricted for construction and requires derogation from the relevant authority, which is slow and often refused. Confirming the classification is one of the first checks on any rural or peri-urban site.
Can I buy the company instead of the land?
Yes, and it is common where the land sits in an SPV. A share purchase transfers historic liabilities as well as the asset, so the diligence scope widens to accounts, tax, employment, litigation and past corporate acts, and warranties and indemnities do more of the work.
What happens if the registry, the tax record and the survey do not match?
It is common — areas, boundaries and building descriptions drift over decades. The mismatch has to be rectified before completion, either by the seller or as a condition in the promissory contract, because lenders and notaries will not proceed on inconsistent descriptions and the discrepancy can change the buildable area you priced.
How do I check for charges, easements and pre-emption rights?
The permanent registry certificate shows mortgages, attachments and registered charges, but not everything: rights of way, tenancy positions, leases, urbanisation obligations from earlier permits and statutory pre-emption rights held by the municipality or heritage authorities are traced through the planning file, the tax record and direct enquiry. Pre-emption in particular can delay a signed deal.
What are the main licensing routes?
Broadly: licenciamento (full municipal licence), comunicação prévia (prior communication, for works that meet defined conditions), and works exempt from control. Which applies depends on the type of works, the location and whether the operation conforms to a plan in force.
Is a PIP worth doing?
Often, yes. A prior information request gives a municipal position on whether an operation is viable and on what terms, before you commit to full design. A favourable PIP has legal effect for a defined period and materially de-risks acquisition, at the cost of several months.
How long does licensing take?
Legal deadlines exist for each step, but real elapsed time depends on the completeness of the submission, the number of external authorities consulted and the volume of requests for clarification. Plan for the external consultation chain — environment, heritage, roads, coastal, aviation, utilities — rather than the headline municipal timetable.
What is the difference between the construction licence and the alvará?
The licensing decision approves the operation; the alvará (permit title) is the document that allows works to begin, issued after fees and, where applicable, guarantees are settled. Works started without it are unlicensed, with consequences for finance, insurance and sale.
What is the utilisation licence and why does it block sales?
The licença de utilização certifies that the completed building matches the approved project and may be used for its intended purpose. Without it, units generally cannot be conveyed cleanly, mortgaged by buyers or, for tourism and other regulated uses, registered and operated.
What happens if the plan does not allow the scheme I want?
There are three realistic routes: redesign to what the plan supports, apply for a detail plan or plan amendment, or drop the site. Plan changes are possible but slow and political — they run in years, not months — so they belong in the strategy phase with a budget and a walk-away date, never as an assumption in a feasibility model.
Can I appeal a refusal or a condition I disagree with?
Yes. Municipal decisions can be challenged administratively and then before the administrative courts, and silence beyond legal deadlines has its own consequences. In practice, resubmitting an amended project is usually faster than litigating, so the choice is commercial: what the delay costs against what the condition costs.
What taxes apply when acquiring land or buildings?
IMT (transfer tax) and stamp duty apply on acquisition, with rates depending on the asset type and use, plus notary and registration costs. Annual IMI applies to holding, and AIMI can apply to higher-value portfolios. Rates and exemptions change, so confirm current figures before modelling.
How does VAT work on a development?
Construction and professional services generally carry VAT, and the reverse-charge mechanism applies to certain construction services between taxable persons. Recovery depends on the output activity: sales of new buildings and residential letting are treated differently from commercial letting with waiver. Get the VAT position modelled before the structure is fixed, because it is expensive to correct later.
What soft costs are most often underestimated?
Design and specialties, topographic and geotechnical surveys, environmental and heritage studies, municipal fees and urbanisation charges (TMU/TRIU), utility connection contributions, guarantees, insurance, finance fees and interest during construction, marketing and agency, and the contingency to absorb licensing changes.
What contingency should a development budget carry?
The appropriate contingency scales with how much is still unknown. Early feasibility work carries a wide band; by tender, with a licensed scheme and a fixed-price contract, it narrows. Keep design contingency, construction contingency and a separate allowance for licensing-driven change distinct rather than blended.
Are there capital gains and exit taxes to plan for?
Yes. The treatment of gains differs between individuals and companies, between share sales and asset sales, and by residence and treaty position. Exit tax should be modelled at structuring stage, not at sale.
What are urbanisation charges (TMU/TRIU) and how are they calculated?
They are municipal charges for the infrastructure impact of the operation, set by each municipality's own regulation and normally calculated on built area, use and location. They vary widely between councils, are payable before the permit issues, and are large enough on bigger schemes to change the residual land value — so read the local regulation, not a national average.
Finanzierung und Struktur
Das Projekt finanzieren und die Parteien organisieren.
Will a Portuguese bank fund a development?
Portuguese banks do lend for development, typically after planning is secured, against a fixed-price contract, a credible cost plan and evidence of demand or pre-sales. Terms tighten for non-resident sponsors without a local track record; alternative lenders and equity partners fill the gap at a higher cost.
What security will a lender take?
Usually a mortgage over the land and works, security over the shares or quotas of the SPV, assignment of receivables and insurance, security over project accounts, and sponsor guarantees. Direct agreements with the contractor and key consultants are common on larger facilities.
How are joint ventures usually structured?
Through a Portuguese SPV with a shareholders' agreement covering capital commitments and calls, governance and reserved matters, deadlock, default, distributions, transfer restrictions and exit. Landowner-contribution structures — land in for equity or a share of proceeds — are common and need careful tax and valuation treatment.
Can pre-sales fund construction?
Deposits from off-plan sales help cash flow but are rarely treated as free funding: lenders often require them to be held or applied on defined terms, and buyer protection rules constrain how they are used. Model them conservatively.
When should the holding structure be fixed?
Before the promissory contract, not before the deed. The buyer named in the CPCV, the way the land is contributed, the shareholder mix and the debt plan all interact with IMT, VAT recovery and exit taxation. Restructuring afterwards is possible but usually triggers a second round of transfer tax and stamp duty.
Can foreign lenders or shareholder loans fund a Portuguese SPV?
Yes, and both are common. Shareholder loans need attention on thin capitalisation, transfer pricing, stamp duty and interest deductibility; foreign security packages need to be enforceable in Portugal against local registry practice. Set these out at structuring stage so the funding does not have to be unwound at drawdown.
Bau und Umsetzung
Verträge, Kostenkontrolle und Fertigstellungsrisiko.
What contract forms are used in Portugal?
Bespoke Portuguese-law contracts based on the Civil Code and the public works framework are the norm for private work, with FIDIC used on larger or international projects. Whatever the form, the commercial substance to negotiate is the same: scope, price mechanism, programme, change control, extensions of time, liquidated damages, security and defects.
Fixed price or measured contract?
Fixed-price lump sum transfers more risk to the contractor and is usually what lenders want, but it prices badly against an incomplete design. A measured or target-cost approach can be cheaper if you retain the design and cost management capability to run it.
Who is responsible for defects and for how long?
Portuguese law provides statutory defect liability periods that differ for structural and non-structural elements, alongside contractual warranties, retention and performance bonds. The practical protection is the combination — statutory rights alone are slow to enforce.
What most often causes delay on site?
Incomplete design at tender, unresolved specialty coordination, utility connections, archaeological or ground findings, licensing amendments during works, and contractor cash-flow failure. Each of these is a diligence or contract issue before it becomes a programme issue.
What must I check about the contractor before signing?
The alvará class and category cover the value and type of works, insurance and work-accident cover are in force, the company is tax and social-security compliant, and the balance sheet can carry the programme. Subcontracting chains should be disclosed, because responsibility for defects and for site liabilities follows the contract, not the site notice board.
Who supervises the works and signs off completion?
The project has a technical director of works and, on the client side, usually an appointed supervisor (fiscalização). Completion is not a handshake: it is the works completion, the as-built and technical file, the specialty certifications, the final municipal inspection where required, and then the utilisation licence. Payment milestones should be tied to that chain.
What is needed before units can be sold?
Completion of works, the utilisation licence, the horizontal property title where units are being sold individually, updated registry and tax records, the energy certificate and the technical housing file. Gaps in this pack are the most common cause of delayed conveyancing.
What is horizontal property (propriedade horizontal)?
It is the legal division of a building into autonomous units with defined common parts and permilage shares. It must be constituted and registered before individual units can be sold and mortgaged separately, and its drafting affects service charges, use restrictions and management for the life of the building.
Is it better to sell units or sell the SPV?
Unit sales realise value over time and carry transaction and marketing cost per unit; a share sale of the SPV is a single transaction with different tax treatment and heavier warranty exposure. Institutional buyers of income assets usually prefer the corporate route. Model both early — the answer drives the structure.
What if the asset will be operated rather than sold?
Tourism, student housing, senior living and serviced assets carry sector licensing, operator agreements, staffing and VAT considerations that must be resolved before completion, not after. The operating model should be fixed while the design can still accommodate it.
How are off-plan sales documented and protected?
Through promissory sale contracts with the buyer, deposits, defined completion conditions and, frequently, guarantees or registered promissory rights. Consumer-protection rules apply where the buyer is an individual, so unbalanced clauses on delay, specification changes and deposit forfeiture are a real enforceability risk, not boilerplate.
What warranties will a buyer of the SPV expect?
Title, planning and licensing compliance, construction and defect position, tax, contracts, litigation and environmental status, usually backed by escrow, retention or warranty insurance. Since the diligence targets everything the company has ever done, keeping a clean corporate and licensing record from day one is what makes the corporate exit available at all.
Is the information on this site legal advice?
No. Develop in Portugal is editorial guidance for orientation and preparation. It does not create a lawyer-client relationship and does not replace project-specific legal, tax, planning or technical advice on your documentation and municipality.
When should a lawyer be involved?
Before signing a promissory contract, before committing to a corporate or finance structure, before submitting a licensing application that fixes the scheme, and before executing construction or sale documentation. Earlier involvement is generally cheaper than correcting a signed position.
How do I request support on a specific project?
Use the Legal Support section, choose the workstream closest to your situation and submit the enquiry form with the project, the parties and the decision or document in front of you. Submitting a request does not create a lawyer-client relationship or confirm acceptance of the matter.
How current is the information?
Content is written against the framework in force at the time of publication and reviewed periodically, with official sources listed on each guide. Rates, thresholds and procedures change — always confirm current figures with the competent authority before relying on them.
Does using this site create any relationship with VVA?
No. Reading the guides, using the tools or submitting an enquiry does not create a lawyer-client relationship. That begins only when scope, conflicts and terms are confirmed and an engagement letter is signed.
Can I use these guides with my own lawyer or team?
Yes, and that is the intended use. The volumes are structured so that a sponsor, an architect or an in-house team can arrive at the first meeting already knowing the sequence, the documents and the decisions — whichever firm they instruct.
Project type: Tourismus & ResortFunktioniert Build-to-Rent in Portugal?

Page: Redaktionelle MethodikInternationale Projektentwickler
Grenzüberschreitende Fragen von Projektentwicklern mit Sitz außerhalb Portugals.
Was machen ausländische Projektentwickler am häufigsten falsch?
Volume: Rechtliche BegleitungZentrale portugiesische Regeln hinter diesen Antworten
